Private Equity & Venture Capital
Overview
Torkin Manes’ private funds practice provides advice to private equity, search and venture capital funds, as well as family offices and other private investors. Our lawyers counsel clients throughout the entirety of the fund lifecycle, from fund formation and structuring, negotiating acquisitions and co-investment arrangements, to advising on exit strategies, as well as providing general governance and ongoing legal advice to funds and their portfolio companies.
Our team leverages its broad knowledge of the Canadian M&A market allowing us to advise on transactions of all levels of complexity, from highly structured platform acquisitions to portfolio company “tuck under” transactions. In addition, we routinely work closely and in conjunction with leading law firms in the US and overseas on multi-jurisdictional transactions.
Our depth of experience in all aspects of private equity and venture capital has not only made Torkin Manes a go-to law firm for private fund clients seeking primary and add-on investments, but also made us a choice firm to act as corporate general counsel for platform investments post-acquisition. Our private equity lawyers lead an integrated team that works with specialists, including our employment, tax, real estate, technology, and commercial contracts teams, providing for efficient execution regardless of the complexity of the engagement. This capability has made Torkin Manes a sought-after law firm for private equity consolidation platforms, and given us a reputation for executing consolidation transactions at a high volume and on schedule.
Our venture capital team has experience in both sponsored and strategic venture capital, and understands the unique objectives of each fund category. We have been responsible for crafting novel solutions to address unconventional investment structures for sponsored venture funds, and to address the specialized regulatory needs of strategic venture funds. After the initial investment, we provide counsel to fund board representatives to ensure compliance with corporate documentation and fiduciary duties, and to provide general legal and strategic advice.
